FREELANCE EDITING CONTRACT

This agreement is entered into between Overflow Press and the Client, both referred to herein as 'parties,' in relation to the policies and services provided by Overflow Press. Both parties mutually agree to abide by the terms and conditions outlined herein.
1. Services
1.1 Editing Services
Editor agrees to provide the following editing services to Client (choose all that apply):
ï‚·Proofreading: This service focuses on correcting errors in grammar, punctuation, spelling, and typos.
ï‚·Copyediting: This service goes beyond proofreading to ensure consistent style, clarity, and flow of the manuscript. It may also include fact-checking and cross-referencing.
ï‚·Line editing: This service delves deeper into the manuscript, focusing on sentence structure, word choice, and overall conciseness of the writing. Editor will provide suggestions to improve sentence fluency, rhythm, and tone.
ï‚·Developmental editing: This service provides a comprehensive analysis of the manuscript's structure, plot, character development, and overall direction. Editor will offer suggestions for improvement in these areas and help ensure the manuscript aligns with your target audience.
1.2 Additional Services
In addition to the editing services chosen above, Editor will provide the following:
ï‚·Mini Courses with Worksheets: Editor will offer access to mini courses with downloadable worksheets on self-publishing and book discoverability. These resources will provide Client with valuable information on the publishing process and strategies to enhance their book's visibility.
ï‚·Keyword Research: Editor will conduct keyword research to identify relevant keywords and search terms that can increase the discoverability of Client's book on online platforms.
2. Project Materials
ï‚·Client Responsibilities:
ï‚·Client agrees to deliver a complete manuscript in a mutually agreed-upon format (e.g., Word document, Google Doc).
ï‚·All manuscripts must be watermarked with Client's name or a unique identifier before submission. This protects both Client and Editor from potential copyright infringement claims.
ï‚·Client acknowledges that no additional pages will be accepted for editing once the project commences.
3. Project Timeline
ï‚·Turnaround Time:
a.Projects exceeding 40,000 words require a non-negotiable turnaround time of 30-45 days. This timeframe allows for thorough editing and completion of additional services.
b.Projects requiring more extensive editing (e.g., significant developmental needs) may necessitate additional time. Editor will communicate any anticipated delays to Client promptly.
ï‚·Communication:
a.Client agrees to be responsive to any communication from Editor regarding the project. Timely responses are crucial to maintain the agreed-upon timeline.
4. Fees and Payment

In consideration of the services provided by Overflow Press, the client agrees to pay a fee of $75 for each additional service, including but not limited to developmental editing, copyediting, proofreading, and line editing.
ï‚·Deposit and Payment Schedule:
ï‚·Client agrees to pay Editor the designated amount calculated for the booking. This secures the editor's time and commitment to the project.
ï‚·Payment Terms:
ï‚·Upon booking, all payments will be processed.
ï‚·Accepted payment methods include all major credit cards and PayPal.
5. Confidentiality
ï‚·Client Confidentiality: Editor agrees to keep all Client materials confidential and will not share them with any third party without Client's written consent. This includes the manuscript, any notes or feedback provided by Editor, and any Client information obtained during the project.
ï‚·Editor Confidentiality: Editor agrees to refrain from disclosing any confidential information about Client's business or personal affairs learned during the course of the project.
6. Portfolio
Display of Edited Work: Editor reserves the right to display 1-2 pages of the edited manuscript on their website portfolio for promotional purposes. These excerpts will be anonymized to protect Client's intellectual property.
Client Opt-Out: Client has the right to opt-out of this clause by providing written notice before work commences.
7. Revisions and Refunds
ï‚·Revision Policy:
Client is entitled to request one round of revisions after receiving the initial edited manuscript. Revisions should focus on addressing any edits or suggestions previously discussed but not implemented to Client's satisfaction.
Requests for revisions should be submitted in writing within five days of receiving the edited manuscript. This timeframe ensures a smooth workflow and allows Editor to prioritize revisions efficiently.
ï‚·Refund Policy:
ï‚·If Client is unsatisfied with the revised work, they may request a 30% refund within three days of receiving the revised manuscript.
ï‚·This is a limited-time offer and does not apply to revisions requested after the specified timeframe or for revisions that fall outside the scope of the originally agreed-upon editing service.
ï‚·In the event of a refund, Editor will retain the deposit and invoice for any completed work at the agreed-upon rate.
8. Cancellation
ï‚·Client Cancellation:
Client may cancel the project by providing written notice within 24 hours of booking. In such a case, the deposit will be refunded in full.
ï‚·Editor Cancellation:
ï‚·In the unforeseen circumstance that Editor is unable to complete the project due to illness, personal emergency, or other unavoidable reasons, Editor will provide written notice to Client as soon as possible.
ï‚·Editor will refund any portion of the deposit or payment received for work not completed, and the client will have the option to terminate the contract or engage another editor.
9. Independent Contractor
Editor is an independent contractor and not an employee of Client. Editor is responsible for their own taxes and social security contributions.
10. Entire Agreement
This agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements.
11. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of [Your State].
12. Severability
If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
13. Notices
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by overnight courier, addressed as follows:
